Please read these Terms of Service carefully before using AudioCollabz. By using our service, you agree to be bound by these terms.

Acceptance of Terms

By accessing and using AudioCollabz, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all visitors, users, and others who access or use the service, including but not limited to individual users, clients, and organizations.

Eligibility & Age Requirements

By using AudioCollabz, you represent and warrant that:

  • You are at least 18 years of age, or the age of legal majority in your jurisdiction
  • You have the legal capacity to enter into binding contracts
  • If you are using the service on behalf of a business or organization, you have the authority to bind that entity to these terms

Minors: If you are under 18 years of age, you may only use AudioCollabz with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The parent or guardian is fully responsible for the minor's use of the service.

AudioCollabz is a collaborative platform designed for audio professionals to manage projects, share audio files, collaborate with clients, and streamline their workflow.

User Accounts & Responsibilities

Account Registration

You must provide accurate, current, and complete information during registration and keep your account information updated.

Account Security

You are responsible for safeguarding your password and all activities under your account. Notify us immediately of any unauthorized access.

Acceptable Use

You agree not to use the service for any unlawful purposes or in ways that could damage, disable, or impair the service or interfere with other users' access.

Privacy & Data Protection

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

GDPR Compliance

AudioCollabz processes personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. We act as:

  • Data Controller: For user account data, billing information, and platform usage data
  • Data Processor:Where applicable

Data We Process

In providing our services, we process the following types of data:

  • • Account information (name, email, password)
  • • Billing and payment information (processed via Stripe)
  • • Audio files and project content you upload
  • • Client and contact information you store
  • • Usage data, IP addresses, and technical logs

Your Rights: Under GDPR, you have rights including access, rectification, erasure, data portability, and the right to object to processing. To exercise these rights, contact us at privacy@audiocollabz.com.

Billing, Payments & Subscriptions

Subscription Plans & Pricing

AudioCollabz offers multiple subscription tiers to meet your needs:

Free Plan

  • • Up to 3 clients and 3 projects
  • • 200 MB storage
  • • 5% platform fee on client payments
  • • Always available, no payment required

Pro Plan - €10/month

  • • Up to 20 clients and 20 projects
  • • 5 GB storage
  • • 1% platform fee on client payments
  • • Monthly billing

Expert Plan - €18/month

  • • Up to 50 clients and 50 projects
  • • 15 GB storage
  • • 0% platform fee on client payments
  • • Monthly billing

Custom/Enterprise Plan

  • • Unlimited clients, projects, and storage
  • • Custom platform fees and pricing
  • • Tailored to your specific needs
  • • Contact us for details

Billing Cycles & Automatic Renewal

Paid subscriptions (Pro and Expert) are billed monthly on a recurring basis. By subscribing, you authorize AudioCollabz to automatically charge your payment method each billing cycle until you cancel.

  • • Billing occurs on the same day each month
  • • You can cancel anytime before your next renewal date
  • • Cancellations take effect at the end of the current billing period
  • • No partial refunds for mid-cycle cancellations
  • • Multi-currency support available (EUR is default)

Plan Changes (Upgrades & Downgrades)

Upgrades: When you upgrade your plan, you gain immediate access to the new tier's features and limits. You'll be charged a prorated amount for the remainder of your billing cycle.

Downgrades: When you downgrade to a plan with lower limits, you must select which content to keep active if you exceed the new tier's limits. Content not selected will be archived but not deleted.

Archival System:

  • • Archived content is preserved indefinitely and not deleted
  • • You can access archived content by upgrading your plan
  • • Upon upgrade, archived content is automatically restored (oldest first)
  • • No data loss occurs during downgrades

Payment Processing & Authorization

All payments are processed securely through Stripe, our payment processor. We support the following payment methods:

  • • Credit and debit cards (Visa, Mastercard, Amex)
  • • iDEAL (for customers in the Netherlands)
  • • Stripe Link

By providing payment information, you authorize us to charge the applicable subscription fees and any other charges you incur. Automatic tax calculation via Stripe Tax is enabled, and billing address is required for tax compliance.

Platform Fees & Client Payments (Stripe Connect)

AudioCollabz charges a platform fee on payments you receive from clients through the platform. This fee varies by subscription tier:

  • • Free Plan: 5% platform fee
  • • Pro Plan: 1% platform fee
  • • Expert Plan: 0% platform fee
  • • Custom Plan: Negotiated platform fee

Stripe Connect Requirements: To receive payments from clients, you must connect a Stripe Connect account. The platform fee is automatically deducted from client payments before funds are transferred to your account.

Note: Standard Stripe payment processing fees apply separately and are in addition to our platform fees. Minimum payment amount is €0.50 or currency equivalent.

Cancellation Policy

You may cancel your paid subscription at any time through your account settings or by contacting support. When you cancel:

  • • You retain access to paid features until the end of your current billing period
  • • At period end, you'll be downgraded to the Free plan
  • • If you exceed Free plan limits, you must select content to keep active
  • • Archived content remains accessible if you re-subscribe
  • • No automatic data deletion occurs upon cancellation

Refund Policy

Subscription fees are generally non-refundable. However, we handle refund requests on a case-by-case basis at our discretion. To request a refund, contact support@audiocollabz.com with your reason.

EU Digital Content Rights: Under EU consumer protection law, you have a 14-day withdrawal right for digital services. However, by subscribing and accessing the service immediately, you acknowledge that the withdrawal period expires once service delivery begins, and you expressly consent to this. If you do not access the service within 14 days, you may request a full refund.

EU consumer rights regarding refunds apply where applicable. We comply with all applicable consumer protection laws in your jurisdiction.

Taxes & Price Changes

Taxes: Prices shown exclude applicable taxes (such as VAT). Tax amounts are calculated automatically at checkout based on your billing address and added to your total. You are responsible for all applicable taxes.

Price Changes: We reserve the right to change our pricing at any time. If we increase prices, we will provide at least 30 days' advance notice via email. Existing subscribers will maintain their current pricing for at least one full billing cycle after the change.

Content & Intellectual Property

Your Content

You retain ownership of all content you upload to AudioCollabz. You grant us a license to store, process, and display your content as necessary to provide the service.

Content Responsibility

You are responsible for ensuring you have the right to upload and share all content. You must not upload content that infringes on others' intellectual property rights.

Our Platform

The AudioCollabz platform, including its design, features, and functionality, is protected by intellectual property laws and remains our property.

Content Moderation & Takedown

Our Rights to Remove Content

While AudioCollabz is not obligated to monitor user content, we reserve the right, at our sole discretion and without prior notice, to:

  • • Remove or disable access to any content that violates these Terms
  • • Remove content that is illegal, harmful, threatening, abusive, or objectionable
  • • Remove content that infringes intellectual property rights
  • • Suspend or terminate accounts that repeatedly violate these Terms

Copyright Complaints & Takedown Procedure

If you believe content on AudioCollabz infringes your copyright, you may submit a takedown notice to our designated agent. Your notice must include:

  • • Identification of the copyrighted work claimed to be infringed
  • • Identification of the material claimed to be infringing and its location
  • • Your contact information (name, address, email, phone)
  • • A statement that you have a good faith belief the use is not authorized
  • • A statement under penalty of perjury that the information is accurate
  • • Your physical or electronic signature

Prohibited Content

You may not upload, share, or transmit content that:

  • • Infringes any third party's intellectual property rights
  • • Contains malware, viruses, or harmful code
  • • Is illegal, fraudulent, or promotes illegal activities
  • • Is defamatory, obscene, or harassing
  • • Violates any person's privacy or publicity rights
  • • Contains sensitive personal data without proper consent
Third-Party Services

AudioCollabz relies on third-party services to provide our platform. By using AudioCollabz, you acknowledge and agree to the following:

Third-Party Service Providers

We use the following third-party services, each governed by their own terms:

  • Stripe: Payment processing and Stripe Connect (Stripe Terms)
  • Cloud Hosting: Including but not limited to EU-based cloud infrastructure providers
  • Google: Calendar integration and authentication services
  • Email Services: Transactional email delivery

Disclaimer of Third-Party Liability

AudioCollabz is not responsible for the availability, reliability, or performance of third-party services. We are not liable for any losses or damages resulting from:

  • • Outages or interruptions of third-party services
  • • Changes to third-party service terms or features
  • • Data processing by third-party services
  • • Payment processing delays or failures by Stripe

Note: When you connect third-party accounts (such as Google Calendar or Stripe Connect), you authorize data sharing between AudioCollabz and those services as necessary to provide the requested functionality.

Limitations & Disclaimers

Service Availability

While we strive for 99.9% uptime, we cannot guarantee uninterrupted access to the service. Maintenance, updates, or technical issues may temporarily affect availability.

Data Backup

While we implement backup systems, you are encouraged to maintain your own backups of important audio files and project data.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOCOLLABZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability: Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or €100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless AudioCollabz and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the service or any activity under your account
  • Your violation of these Terms of Service
  • Your content, including any claims of intellectual property infringement
  • Disputes with your clients or third parties
  • Your failure to comply with applicable laws, including tax and data protection laws
  • Misuse of the platform or violation of any third party's rights
Force Majeure

AudioCollabz shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God, or extreme weather events
  • War, terrorism, civil unrest, or government actions
  • Epidemics, pandemics, or public health emergencies
  • Strikes, labor disputes, or industrial action
  • Failures of third-party services, including hosting providers, Stripe, or internet infrastructure
  • Cyberattacks, DDoS attacks, or security incidents beyond our reasonable control
  • Power outages or telecommunications failures

In the event of a force majeure, our obligations will be suspended for the duration of the event, and we will use reasonable efforts to resume normal service as soon as practicable.

Merchant Terms for Payment Processing

Important: By using AudioCollabz to receive payments from clients, you acknowledge that you are the Merchant of Record for all sales. You are responsible for VAT compliance, tax filings, and remittance to tax authorities.

1. You Are the Merchant of Record

As the merchant of record, you are the legal seller of your digital audio products and services. AudioCollabz acts solely as a payment facilitator, providing the technical infrastructure to process payments via Stripe Connect. We do not act as the seller, merchant of record, or agent for your sales.

2. Your VAT and Tax Responsibilities

As the merchant of record, you are responsible for:

  • VAT Registration: Determining if you need to register for VAT in your country or other jurisdictions
  • VAT Calculation: While Stripe Tax calculates VAT amounts automatically, you remain legally responsible for accuracy
  • VAT Collection: Collecting the correct VAT amount from customers on each sale
  • VAT Remittance: Filing VAT returns and remitting collected VAT to tax authorities
  • OSS Registration: If required, registering for the EU One Stop Shop (OSS) scheme for cross-border EU sales
  • Record Keeping: Maintaining accurate records of all transactions, invoices, and tax filings

3. Business Information Accuracy

You confirm that all business information provided to AudioCollabz is accurate and up-to-date, including country of business registration, VAT registration number, business type, and OSS registration details. You agree to notify AudioCollabz immediately of any changes.

4. Stripe Tax Integration

AudioCollabz uses Stripe Tax to automatically calculate VAT/sales tax amounts. You understand that:

  • • Stripe Tax is a calculation tool, not a compliance guarantee
  • • You remain legally responsible for VAT compliance
  • • You should verify that calculations are correct for your situation

5. Platform Commission & Invoicing

AudioCollabz charges a commission fee on each sale. You will receive commission invoices with proper B2B VAT treatment:

  • • EU artists with valid VAT ID: Reverse charge applies (0% VAT)
  • • EU artists without VAT ID: 21% Dutch VAT applies
  • • Non-EU artists: No VAT applies

6. What AudioCollabz Does NOT Do

AudioCollabz explicitly does NOT:

  • • Act as the seller or merchant of record for your products/services
  • • File VAT returns on your behalf
  • • Remit VAT to tax authorities on your behalf
  • • Provide tax advice or guarantee tax compliance
  • • Assume liability for your tax obligations

7. Professional Tax Advice

AudioCollabz strongly recommends consulting with a qualified tax professional regarding VAT registration, OSS obligations, proper filing procedures, and record-keeping requirements. Nothing in these terms constitutes tax or legal advice.

8. Liability and Indemnification

You agree to indemnify AudioCollabz from any claims, damages, or expenses arising from your failure to comply with tax laws, VAT audits, penalties, or incorrect business information you provide. AudioCollabz shall not be liable for any tax penalties, interest, or assessments you may incur.

Termination & Account Closure

Termination by AudioCollabz

We may terminate or suspend your account and access to the service immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.

Subscription Cancellation

If you cancel your paid subscription:

  • • You retain access to paid features until the end of your current billing period
  • • Your account is automatically downgraded to the Free plan at period end
  • • Content exceeding Free plan limits is archived (not deleted)
  • • Archived content is preserved indefinitely and can be restored by upgrading

Account Deletion

If you choose to permanently delete your account:

  • • All your projects, clients, and audio files will be permanently deleted
  • • This action is immediate and cannot be undone
  • • We recommend downloading your data before deleting your account
  • • Payment records are retained for 7 years for tax compliance purposes

Important: Account deletion is permanent. Unlike subscription cancellation, deleted accounts and their data cannot be recovered.

Data Retention

Retained for as long as your account remains active or archived following subscription cancellation. Deleted upon permanent account deletion or valid deletion request, except where retention is required by law.

Changes to These Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the platform at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance of the new terms. If you do not agree to the modified terms, you must stop using the service before the changes take effect.

Governing Law & Jurisdiction

Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Jurisdiction

Any disputes arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands. Both parties agree to submit to the personal jurisdiction of such courts.

EU Consumer Rights

If you are a consumer residing in the European Union, you may also have rights under the consumer protection laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer that cannot be waived or limited by contract. You may bring proceedings in the courts of your country of residence if permitted by applicable law.

Online Dispute Resolution: The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. However, we are not obliged to participate in dispute resolution procedures before a consumer arbitration board.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AudioCollabz regarding the use of the service, and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by AudioCollabz to be effective.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. AudioCollabz may assign these Terms without restriction.
